What is a Sales Contract?
A sales contract is simply a contract between two parties for the sale of anything like a vehicle, a pet, equipment, etc. An oral or a non-written contract for the sale or purchase of anything is also perfectly fine but it can’t be enforceable by law. Therefore, a proper sales contract is written so as to protect the rights and liabilities of the parties to the contract.
A sales contract is actually drafted to avoid any confusion or misunderstanding in the future. Such a document also plays an important part to avoid any fraudulent activities. Since all the details and terms and conditions are laid out in the contract, a fair execution of the contract can be expected from both the parties involved in the contract.

However, if you want to know how to create a professional and legally binding sales contract from scratch, below are the 10 Basic Elements of a Sales Contract that you should include in your sales contract sample:
1- Title:
Add a proper title to the document that clearly highlights the contents of the sales contract. The title might also include the name of the property or thing that is being sold.
2- Date:
Carefully add the date on which the sales contract is actually being drafted or written.
3- Details of the Seller:
Write down the complete details of the seller like name, address, and contact information. In case, the seller is an organization, mention the name of the organization and of the person representing it in any such transaction or deal.
4- Details of the Buyer:
Similarly, add the same details of the buyer like name, address, and contact information. If the buyer is an organization, write the complete name of the organization and of the person representing that organization in any such transaction or deal.
5- Transaction Details:
Write down the details of the sales transaction. This usually includes the name of the asset or property that is being sold or transferred to the buyer for an agreed amount. You can also include the state and condition of the goods or the asset that is being sold. Also, make sure to include any additional information that the other party must know about.
6- Amount:
Enter the correct amount both in words and numbers. This is the amount that the buyer agrees to pay to the seller as a result of acquiring the rights of using the property under consideration.
7- Terms and Conditions:
Write in detail all the terms and conditions of the sales contract. The terms and conditions must be clearly explained and there must be no ambiguity or confusion in understanding such terms and conditions.
8- Rights and Liabilities:
Layout the rights and liabilities of both the buyer and the seller to the contract. The rights and liabilities must be stated in such a way so that there is no misunderstanding between both the parties regarding such rights and liabilities.
9- Witnesses:
Add the relevant details of the witnesses as well such as their names, addresses, and contact details.
10- Signatures:
Leave some space at the end of the sales contract document so that the buyer, seller, and witnesses can put their signatures. This will make the sales contract official and legally binding. If both or any of the parties involved in a sales contract are an organization, then the official stamp or seal of the organization can be affixed to the contract. Additionally, any person representing the organization in any such deal must also sign the document to make his representation official.
